Terms of Service

1. Definitions
"Service" refers to the RegAid platform, including all features, APIs, and content. "User" means any individual who creates an account. "Workspace" means a shared organizational space within the Service. "Output" means any AI-generated text, citations, or analysis produced by the Service. "Subscription" means the paid access plan selected by the User.
2. Acceptance of terms
By creating an account or using the Service, you agree to be bound by these Terms. You must be at least 18 years old and, if acting on behalf of an organization, authorized to bind that organization to these Terms.
3. Service description
RegAid is an AI-powered regulatory intelligence platform. It provides cited answers to regulatory questions by searching official guidance from FDA, EMA, Swissmedic, ICH, and other regulatory bodies. The Service includes cross-jurisdictional comparison, source document viewing, and session management.
4. AI output disclaimers
This is the most important section of these Terms. Please read carefully:
- Outputs are NOT regulatory, legal, or medical advice. They are informational only.
- The Service is not a substitute for qualified regulatory affairs professionals. Always consult a qualified professional before making regulatory decisions.
- AI technology has inherent limitations. Outputs may contain errors, omissions, or inaccuracies, including plausible-sounding but incorrect information.
- We do not guarantee the accuracy, completeness, or currency of any Output.
- You assume all risk of reliance on AI-generated Outputs.
- RegAid is not liable for any regulatory submissions, filings, or decisions made based on Outputs from the Service.
- The Service is NOT a GxP-validated system. It is an informational tool only and must not be used as a system of record for regulatory compliance.
- Regulatory databases may not reflect the most recent guidance updates or regulatory changes. Always verify against the official source.
5. Account responsibilities
You are responsible for maintaining accurate registration information, keeping your credentials secure, and all activity that occurs under your account. You must notify us immediately of any unauthorized access.
6. Acceptable use
You agree not to:
- Use the Service for any illegal purpose or in violation of applicable laws.
- Input personal health information (PHI), patient data, or clinical trial data containing personally identifiable information.
- Use Outputs as final regulatory submissions without review by a qualified regulatory professional.
- Reverse engineer, decompile, or attempt to extract the source code or algorithms of the Service.
- Exceed rate limits or engage in automated scraping of the Service.
7. Intellectual property
RegAid owns all rights in the platform, algorithms, user interface, and curated regulatory corpus. Nothing in these Terms transfers ownership of any intellectual property to you.
You retain ownership of your input queries and any content you upload to the Service.
You receive a non-exclusive, worldwide license to use Outputs generated by the Service for your internal business purposes. Regulatory source documents cited in Outputs remain in the public domain under their original terms.
8. Subscription and payment
The Service is available under the following plans: Monthly (CHF 199 per seat per month), Annual (CHF 1,990 per seat per year), and Enterprise (custom pricing). All new users receive a free trial of 20 searches over 30 days with no credit card required.
Subscriptions auto-renew at the end of each billing period unless cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period.
Payments are processed by Stripe. By subscribing, you authorize recurring charges to your selected payment method. All prices are in Swiss Francs (CHF) and exclude applicable taxes.
No refunds are issued for partial billing periods. If you add seats mid-cycle, the cost is prorated for the remainder of the period. If you reduce seats, the change takes effect at your next renewal. Cancellation does not entitle you to a refund for the current billing period.
We may change pricing with at least 30 days' advance notice. Price changes apply at the start of your next billing period.
9. Data and privacy
Your use of the Service is also governed by our Privacy Policy. We treat all workspace data as confidential. A Data Processing Agreement (DPA) is available on request for organizational customers.
10. Availability and support
We provide the Service on a best-effort basis. We do not guarantee uninterrupted or error-free availability. Planned maintenance will be communicated with reasonable advance notice. Support is provided via email.
11. Limitation of liability
To the maximum extent permitted by Swiss law, our total liability to you for any claims arising from or related to the Service is limited to the fees you paid in the 12 months preceding the claim.
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. We are specifically not liable for any regulatory outcomes, submissions, or decisions based on Outputs from the Service.
Nothing in these Terms excludes or limits liability for gross negligence or intentional misconduct under Swiss law (OR Art. 100).
12. Indemnification
You agree to indemnify and hold RegAid harmless from any claims, damages, or expenses arising from your misuse of Outputs, violation of these Terms, or breach of the Acceptable Use policy.
13. Warranties and disclaimers
The Service is provided "as is" and "as available" to the extent permitted by Swiss law. We make no warranties, express or implied, regarding the accuracy, completeness, or fitness for any particular regulatory purpose of any Output. We do not warrant that the Service will be uninterrupted, secure, or error-free.
14. Term and termination
Your Subscription continues for the billing period selected (monthly or annual) and auto-renews unless cancelled.
You may cancel your Subscription at any time. Cancellation takes effect at the end of the current billing period.
We may terminate your account for material breach of these Terms, with 30 days' written notice and an opportunity to cure the breach.
After termination, you have 30 days to export your workspace data. After this period, all workspace data is permanently deleted.
15. Governing law and jurisdiction
These Terms are governed by Swiss law, excluding its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts of Basel-Stadt, Switzerland. Mandatory consumer protections under EU law are preserved where applicable.
16. Force majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including but not limited to AI provider outages, infrastructure failures, natural disasters, or regulatory changes.
17. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect. The invalid provision will be replaced with a valid provision that most closely achieves the original intent.
18. Modifications
We may modify these Terms with at least 30 days' notice for material changes. Continued use of the Service after the notice period constitutes acceptance of the modified Terms. If you disagree with the changes, you may terminate your Subscription before the changes take effect.
19. Entire agreement
These Terms, together with the Privacy Policy and any signed Data Processing Agreement, constitute the entire agreement between you and RegAid regarding the Service.
